Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your access to and use of the VehiclePhoto application and website (the "Service"). By creating an account, making a purchase, or using the Service, you agree to these Terms.

You must be at least 18 years old to use the Service. If you use the Service for a dealership or other organization, you confirm that you are authorized to accept these Terms on its behalf, and "you" includes that organization.

VehiclePhoto is operated by Archelaus LLC, a New York limited liability company, at 348 4th Avenue #1040, Brooklyn, NY 11215, United States. "We", "us" and "our" mean Archelaus LLC.

2. The Service

VehiclePhoto provides software that processes images and related inventory data to produce merchandising imagery, listing copy, and related outputs. The Service is provided on a self-serve basis.

3. Your content and outputs

You retain all rights to the photos, inventory data, and other materials you upload ("Your Content"). You grant us a limited license to host, process, and transform Your Content solely to provide the Service to you, and you authorize the service providers we use for hosting, storage, and image processing to process Your Content for that purpose.

You may use the outputs the Service produces for you, including commercially, subject to any rights third parties hold in the underlying material.

Edits create separate versions and do not overwrite your original uploads. Originals and their versions stay available while they are retained in your account. Deleting a listing removes it from your account. We attempt to remove the associated originals and edited files from storage; storage cleanup can fail or be delayed. Keep your own copies of anything you need.

4. AI outputs

The Service uses AI models to produce images and text. Outputs can contain errors and can change details of a vehicle or other item. Review every image and statement before you publish it.

We do not guarantee that outputs are accurate, unique, eligible for copyright protection, accepted by any marketplace or listing site, or that they will produce any sales result.

5. Honest merchandising

You agree to use the Service for honest merchandising. The Service is designed to enhance presentation (backgrounds, lighting, branding), not to misrepresent the condition, identity, or material facts of an asset.

You are responsible for the accuracy and legal compliance of your published listings.

6. Acceptable use and infringement reports

You may not use the Service to infringe others’ rights, to upload content you lack the rights to use, or to create deceptive or unlawful imagery.

To report material you believe infringes your rights, email support@vehiclephoto.com with the location of the material and the basis of your claim. We may remove material we believe infringes.

7. Fees, renewal, and cancellation

Paid plans are billed as described at sign-up or in an order. All payments are processed by Stripe.

Subscriptions renew automatically at your plan’s current price (subject to the price-change terms below), monthly or yearly depending on the billing period you chose, until you cancel. Annual plans are charged in full at the start of each year. Subscription charges apply whether or not you use your credits.

You can cancel at any time through Manage billing in your account’s billing settings. Cancelling stops future renewals; your plan stays active until the end of the period you’ve paid for. Payments already made are refundable only as described in section 9.

We may change prices. A price change applies only going forward. We will not charge an increased subscription price unless applicable notice, consent and refund requirements have been met.

8. Credits, free trial, and Listing Pass

Each new organization receives 5 free trial credits. Trial outputs are watermarked previews.

Clean, unwatermarked downloads and exports require an active paid plan or an active Listing Pass. If your subscription stops being active (for example, after a failed payment or a cancellation takes effect), clean access stops, even if Listing Pass credits remain on your account.

A Listing Pass is a one-time purchase of 60 credits for $39. Listing Pass credits are non-transferable and have no scheduled expiry while your account remains active. When your Listing Pass balance reaches zero, you may buy another pass or subscribe to a plan.

Subscription credits are granted monthly, including on annual plans. On an annual plan, the first monthly subscription period’s credits are added when the annual payment is made. Each later monthly subscription period (counted from your subscription start date) is added the first time in that period that your account processes photos or otherwise spends credits, plans a bulk edit, or requests its credits; browsing alone does not add them. A period with none of that activity is not added later. Unused subscription credits carry into the next month up to twice your plan’s monthly allowance; any amount above that is removed. This limit does not apply to Listing Pass credits.

9. Refunds and disputes

You may request a full refund within 7 days of a purchase if no credits from that purchase have been spent. Once credits are spent, that purchase is not refundable.

If a Listing Pass payment is refunded, in full or in part, or disputed with your card issuer, we reverse that purchase’s entire credit grant. Listing Pass access ends unless another paid Listing Pass backs it. If a dispute closes in our favor and the payment was not refunded, the credits and eligible Listing Pass access may be restored.

10. Suspension and termination

We may suspend or terminate your access for a material breach of these Terms or for nonpayment, with notice where practicable. You may stop using the Service and cancel your subscription at any time.

If we terminate your account, we cancel your subscription so no further renewals are charged. Refunds follow section 9 and applicable law.

11. Disclaimers and liability

The Service is provided "as is" without warranties of any kind to the maximum extent permitted by law. To the extent permitted by law, our aggregate liability is limited to the amounts you paid for the Service in the twelve months before the claim.

Nothing in these Terms limits rights you have as a consumer that cannot be waived, or liability that applicable law does not allow us to limit.

12. Indemnity

If you use the Service for a business, you agree to indemnify us against third-party claims arising from content you upload or listings you publish that violate the law or others’ rights, except to the extent the claim is caused by our own fault.

13. Governing law and venue

These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in New York County, New York, and each party consents to the personal jurisdiction of those courts.

This section does not take away any right a consumer has under applicable law to bring a claim in their home courts or under their local law where that right cannot be waived.

14. General

These Terms, together with our Refund Policy and the terms shown when you make a purchase, are the entire agreement between you and us about the Service. If any part of these Terms is found unenforceable, that part is limited or removed and the rest stays in effect.
